本使用許諾契約書（以下「本契約書」といいます）は, iPentec のデータを含むソフトウェア（以下、「本ソフトウェア」といいます）に関して、利用者（個人または法人のいずれかであるかを問いません）と iPentec との間に締結される契約書です。本ソフトウェアには、すべてのソフトウェア、データ、メディア、およびそれに付随するオンライン文書または印刷物が含まれます。本ソフトウェアをインストール、コピー、ダウンロード、またはその他の方法で入手することによって、仕様許諾書のすべての規定に従うことに同意したことになります。
本仕様許諾契約に服することを条件とし iPentec は本文書に記される目的のために、本ソフトウェアをインストールして使用する、個人的で非独占的な使用権を許諾します。 利用者は、本ソフトウェアを特定の任意台数のコンピュータ、ワークステーション、ターミナル、またはその他の電子デバイス（以下、「デバイス」といいます）にインストールして使用することができます。ただし、かかる本ソフトウェアのコピーを使用できるのは、特定の1名のユーザーに限ります。本ソフトウェアのライセンスを共用することはできません。
本契約書に明示的に規定されていない権利はすべて iPentec によって保留されます。
利用者は、本ソフトウェアをリバースエンジニアリング、逆コンパイル、または逆アセンブルすることはできません。
本ソフトウェアはひとつの製品として許諾されています、その構成部分を分離して複数のデバイスで使用することはできません。
本契約書は、利用者に iPentec のロゴ、名称、または、サービスマーク、デザイン意匠に関連した権利を許諾するものではありません。
利用者は本ソフトウェアをレンタル、リースまたは貸与、本ソフトウェアを利用して、第三者に商業的ホスティングサービスを提供することはできません。
iPentec は、本ソフトウェアに関するサポートサービス（以下「サポートサービス」といいます）を利用者に提供する場合があります。サポートサービスは、ユーザーマニュアル、「オンライン」ドキュメント、または iPentec 提供の印刷物などに記載されている iPentecのポリシーおよびプログラムにしたがってご利用になれます。サポートサービスの一部として利用者に提供された追加のソフトウェアコードは、本ソフトウェアの一部とみなされ、本契約書の条件および条項が適用されます。サポートサービスの一部として利用者から iPentec に提供される技術情報に関して、iPentec は、そのような情報をサポートおよび開発を含む目的に使用することがあります。ただし iPentecは利用者を特定することとなるような方法で技術情報を利用しないものとします。
本条項に規定されている場合を除き、本ソフトウェアのユーザーは、本契約および本ソフトウェアを、委託販売その他の間接的な譲渡を含め譲渡できません。
利用者が本契約書の条項および条件に違反した場合、iPentecは、他の権利を害することなく本契約を終了することができます。そのような場合、利用者は本ソフトウェアの複製物およびその構成部分をすべて破棄しなければなりません。
本ソフトウェア（本ソフトウェアに組み込まれたイメージ、テキスト、ロゴ、データを含みますがそれだけに限りません）、付属のマニュアルなどの文書、および本ソフトウェアの複製物についての原権および無体財産権は、iPentecまたは、その供給者が有するものです。本契約書はそのようなコンテンツの使用権を許諾するものではありません。本ソフトウェアのドキュメントが電子的形態のみによるドキュメントを含む場合、利用者はそのような電子的ドキュメントのコピーを印刷することができます。利用者は本ソフトウェア付属のマニュアルなど文章を複製することはできません。
利用者は、本契約書に従って、本ソフトウェアのコピーをインストールした後で、本ソフトウェアを、バックアップまたは、保存する目的でのみ、本ソフトウェアのコピーを作成することができます。本契約書に特に規定されている場合を除き、利用者は本ソフトウェアまたは本ソフトウェア付属のマニュアルなどの文章の複製物を作成することはできません。
法律上の請求の原因の種類を問わず、iPentecおよびその供給者は、法律上許容される最大限において、本ソフトウェアの使用もしくは使用不能、サポートサービスの提供もしくは提供不能またはその他本契約書に関して生じる特別損害、付随的損害、間接損害。派生的損害、またはその他の一切の損害（逸失利益、機密情報もしくはその他の情報の喪失、事業の中断、人身障害、プライバシーの喪失、誠実義務または合理的な注意義務を含めた義務の不履行、過失、またはその他の金銭的な損失を含みますが、これらに限定されません）に関しては、iPentecはたはその供給者の過誤、不法行為（過失を含む）、無過失責任、契約違反または保証違反の場合であっても、一切の責任を負いません。たとえ、iPentecまたは、その供給者がこのような損害の可能性について知らされていた場合でも同様です。
いかなる理由において生じる損害（上記の損害および直接損害または通常損害を含みますがこれに限定されません）にも関わらず、本契約書に基づくiPentecおよびその供給者の責任は、本ソフトウェアについて利用者が実際に支払った金額の5分の1または100円のいずれか低い額を上限とします。たとえいかなる救済手段もその実質的目的を達せない場合であっても、上記の責任制限および免責条項が法律上最大限認められる限度で適用されます。
本契約書（本ソフトウェアに含まれる本契約書の追加および修正を含む）は、本ソフトウェアおよびサポートサービスに関して利用者と iPentecの間の完全な合意を構成し、本ソフトウェアまたは本契約書で扱われているその他の主題に関するすべての以前および同時の口頭または書面による意思表示、提案、および表明を無効にします。iPentecのポリシーまたはサポートサービスに関する条項が本契約書の条項と異なる場合は、本契約書の条項が適用されます。
This License Agreement (hereinafter referred to as "this Agreement") is a contract between the user (whether an individual or a corporation) and iPentec regarding software that includes iPentec data (hereinafter referred to as "the Software"). The Software includes all software, data, media, and accompanying online or printed documentation. By installing, copying, downloading, or otherwise acquiring the Software, you agree to comply with all the terms of this License Agreement.
Subject to the terms and conditions of this License Agreement, iPentec grants you a personal, non-exclusive license to install and use the Software for the purposes described herein. You may install and use the Software on a specified number of computers, workstations, terminals, or other electronic devices (hereinafter referred to as "Devices"). However, only one specific user may use the copy of the Software. The Software license cannot be shared. All rights not explicitly granted in this Agreement are reserved by iPentec.
You may not reverse engineer, decompile, or disassemble the Software.
The Software is licensed as a single product. Its component parts may not be separated for use on multiple Devices.
This Agreement does not grant you any rights related to iPentec's logo, name, service marks, or design rights.
You may not rent, lease, or lend the Software, or use the Software to provide commercial hosting services to third parties.
iPentec may provide you with support services related to the Software (hereinafter referred to as "Support Services"). Support Services can be used according to iPentec's policies and programs described in user manuals, "online" documents, or printed materials provided by iPentec. Additional software code provided to you as part of the Support Services will be considered part of the Software and subject to the terms and conditions of this Agreement. iPentec may use technical information you provide as part of the Support Services for purposes including support and development. However, iPentec will not use such technical information in a manner that identifies you personally.
Except as provided in this clause, the user of the Software may not transfer this Agreement or the Software, including through indirect means such as consignment sales.
If you breach any terms and conditions of this Agreement, iPentec may terminate this Agreement without prejudice to other rights. In such a case, you must destroy all copies and component parts of the Software.
The original rights and intellectual property rights to the Software (including but not limited to images, text, logos, and data embedded in the Software), the accompanying manuals, and copies of the Software belong to iPentec or its suppliers. This Agreement does not grant you the right to use such content. If the Software documentation includes electronic-only documents, you may print copies of such electronic documents. You may not reproduce the manuals or other written materials accompanying the Software.
After installing the Software under this Agreement, you may make a copy of the Software solely for backup or archival purposes. Except as explicitly provided in this Agreement, you may not make copies of the Software or the accompanying manuals.
To the maximum extent permitted by law, iPentec and its suppliers shall not be liable for any special, incidental, indirect, consequential, or any other damages whatsoever (including but not limited to loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty including good faith or reasonable care, negligence, or any other pecuniary loss) arising out of the use of or inability to use the Software or the provision or failure to provide Support Services, or any other matter related to this Agreement, even if iPentec or its supplier has been advised of the possibility of such damages.
Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of iPentec and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the lesser of the amount actually paid by you for the Software or 100 yen. The foregoing limitations, exclusions, and disclaimers shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.
This Agreement (including any addenda or amendments to this Agreement included with the Software) constitutes the entire agreement between you and iPentec relating to the Software and Support Services and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this Agreement. If any iPentec policies or terms for Support Services differ from the terms of this Agreement, the terms of this Agreement shall apply.
In the event of any discrepancies between the Japanese and English versions of this License Agreement, the Japanese version shall prevail.
